General of Terms

This agreement sets forth the Terms of Service ("Terms'') between Delta HQ Pte. Ltd. ("Company"), the owner and operator of www.deltahq.com ("Website"), and you. By accessing the Website or utilizing any of the Services (as defined below), you are bound by these Terms, establishing a legally binding relationship with the Company. Prior to accessing the Website or using any Services, it is important to thoroughly review these Terms. When you access the Website on behalf of a company or another entity, you confirm that you have the authority to legally bind that entity to these provisions.

Please note that the Terms may be updated periodically without prior notice, and the most current version shall govern any transactions or actions taken by you or the Company. This Agreement is effective indefinitely and may be terminated by either party upon providing a thirty-day notice to the other party.

Services (enhancements, updates, new releases, downtime, warranty)

1. Ilumina Services
   a. Contact information - such as email address and phone number;
   b. Payment information - Including payment card number, billing address, bank account information, and transaction history; 
   c. Information related to booking activities - such as type and preference of the rooms you reserve, feedback during stay, guests associated with your booking, date of reservation, and additional services you order, correspondence if you contact us;
   d. Photographs or uploaded images  - such as images for identification;
   e. Technical information - Including information about IP address, device type, browser type, ISP, mobile carrier, also how your devices has interacted with our services;
   f. Correspondence information - such as inquiry or any request that you share with us when you contact us;
   g. Property detail information - such as property name, region, phone number, facilities on property, location, photo, room detail configuration, and pricing;
   h. Revenue and cost - including all revenue that comes from booking and the cost of each operational activity like electricity, maintenance, etc.

2. Enhancements, Updates, New Releases
   At its exclusive discretion, the Service Provider may periodically provide enhancements, updates, or new releases of the Software through the Service. These updates aim to enhance or improve the functionality or operation of the service or to comply with legislative requirements.

3. Downtime
   The Service Provider will make reasonable efforts to ensure the reliability and efficiency of the Services, except in cases of unscheduled interruptions caused by factors beyond the Service Provider's control. These factors may include actions by the Customer or third parties, including telecommunications providers. Upon detecting any difficulties with the Services, the Customer agrees to promptly communicate such issues to the Service Provider in a reasonably practicable manner.

4. Warranty
   The Company provides a warranty that the Services and all their components do not violate the intellectual property rights of any third party. The Company further agrees to indemnify and hold you harmless in the event of any final judgment obtained by a third party based on a claim asserting that the Services infringe upon the intellectual property rights of such third party.
   

Account and access (fee, license and site access)

1. Delta HQ Account
   Account refers to an authorized user account that grants individuals the ability to access and utilize the Service, encompassing both Administrator accounts and user accounts. You are obliged to uphold the confidentiality of all account-related information, including login credentials and passwords. Additionally, you are responsible for limiting access to your computer and agree to be held accountable for any and all activities that occur under your account or password. The Company retains the right to decline service, terminate accounts, modify or remove content, or cancel orders at its sole discretion. Furthermore, you bear sole responsibility for the accuracy and up-to-dateness of the data entered into the Services using your user account. You consent to indemnify and hold the Company harmless against any claims arising from the content, accuracy, or currency of the information you provide through the Services.

2. License
   The Company grants you a limited license to use the Services, subject to the Terms. This license is non-exclusive, non-sublicensable, and non-transferable. However, this license does not permit you to download any part of the Website or use the Services for any purpose other than your personal use. You are strictly prohibited from engaging in data mining, utilizing robots, or employing similar data gathering tools to exploit your access to the Services for any commercial undertaking. Moreover, you may not make use of any trademarks, logos, or proprietary graphics without obtaining express written permission, which the Company may deny at its absolute discretion. Please be aware that Company's logos, product names, and service names are trademarks owned by the Company. Any other trademarks appearing on the Website or related to the Products or Services belong to their respective owners, and our reference to them does not imply or indicate any approval or endorsement by their owners unless explicitly stated. Additionally, you are not allowed to attempt disassembly, decompilation, reverse engineering, or any other modification or access of the software, related code, or any portion of the Services.
   
   You are strictly prohibited from engaging in data mining, utilizing robots, or employing similar data gathering tools to exploit your access to the Services for any commercial undertaking. Moreover, you may not make use of any trademarks, logos, or proprietary graphics without obtaining express written permission, which the Company may deny at its absolute discretion.
   
   Please be aware that Company's logos, product names, and service names are trademarks owned by the Company. Any other trademarks appearing on the Website or related to the Products or Services belong to their respective owners, and our reference to them does not imply or indicate any approval or endorsement by their owners unless explicitly stated.
   
   Additionally, you are not allowed to attempt disassembly, decompilation, reverse engineering, or any other modification or access of the software, related code, or any portion of the Services.
   

Force Majeure

The Company shall not be held liable for any delay or failure to perform as required by the Terms if such delay or failure is caused by circumstances beyond the Company's reasonable control. In such instances, the Company shall not be considered in breach of or default under the Terms.

Non-disclosure

We are bound by the obligation not to disclose any of your confidential information to third parties, except in cases where it is required by statutory or professional obligations. For the purposes of this agreement, "confidential information" encompasses all information designated as confidential by you or any information that, due to its nature, can be reasonably classified as confidential. Additionally, the following information is always considered confidential:

1. All information pertaining to research, development, trade secrets, or company-related matters

2. b. Personal data as defined in the General Data Protection Regulation (GDPR)
   

Intellectual Property

1. All existing and future intellectual property related to our Software, including but not limited to documentation, sales leaflets, images, drawings, trade names, copyrights, trademarks, design rights, patents, source codes, and know-how, are solely owned by us (or our licensor or suppliers).

2. As a user, you are granted the right to use our Software, but your do not acquire any ownership or claim over the intellectual property mentioned in subsection 1. This right is non-exclusive, meaning that we may grant similar usage rights to others. It is strictly prohibited to transfer or license this right to any third party.
   

Fees

1. Fee payment
   As a compensation for the Services by the Service Provider in alignment with clause B of this agreement, the Customer undertakes to pay the Fees as detailed in the Sales Order/Invoice. Additionally, any other fees for requested/tailored features by the Customer during the term, which are in addition to the original Sales Order, shall also be payable.
   

2. Invoice
   The fees will be invoiced to the Customer in advance for each billing period, in accordance with the amount and frequency specified in the Sales Order or as subsequently subscribed for, unless stated otherwise. In the case of other features requested by the Customer during the term, there may be minimum terms that will be communicated to the Customer upon activation.
   The Fees might be include any applicable taxes. Invoices from the Service Provider will be electronically generated and transmitted via email. Payment for the Services can be made through direct debit or credit card authority. Alternative payment conditions may be considered by the Service Provider through mutual agreement.
   

3. Fee for requested features
   In the event that, during the term, there is an amendment/request to the product by mutual agreement between the parties, and the inclusion of any newly agreed-upon Services to the Customer results in incurring third-party or additional costs, the Service Provider shall notify the Customer of such costs (including the amount) that are to be borne by the Customer.

Third Parties

We reserve the right to engage third-party services to fulfill our obligations partially if we believe it is necessary for the proper execution of the Agreement between Company and Customers. Prior to utilizing any third-party integrations, the Partner is strongly advised to:
1. Carefully examine the terms and data processing terms (if applicable) under which the perspective third party offers its product or service involved in the integration, and
2. Assess the privacy and technical security aspects of the product or service that is the subject of the integration
